General Tasks The Legal & Compliance Manager is responsible for developing and overseeing control systems to prevent or deal with violations of legal guidelines and internal policies; evaluating the efficiency of controls and improve them continuously; revising procedures, reports etc. periodically to identify hidden risk or non-conformity issues. Essential Responsibilities Legal consultation and compliance implementation • Be pro-active and ready for all regulatory reviews; • Develop and implement inspection programs to ensure compliance with all relevant government, industry and Company standards and requirements and to identify exposures and recommend corrective actions to reduce or eliminate risks and hazards; • Provide advice to company’s divisions/departments/sections, updating the latest laws and regulations; • Assist Department Heads develop compliance checklist for each function of the department; • Provide assistance to external auditors by coordinating information requirements in compliance reviews; • Advise the company and its employee in case of litigation, both preventing and resolving legal issues through out-of-court and in-court settlement; • Ensures compliance with regulations and controls by examining and analyzing records, reports, operating practices, and documentation; recommending opportunities to strengthen the internal control structure; • Ensure highly disciplined compliance with all regulatory and company defined food safety and sanitation standards, systems and procedures. • Develop recommendations for changes to processes and systems that will minimize, improve performance and productivity, and ensure that the organization complies with all relevant, laws, and standards. • Reinforce company culture of compliance by providing ongoing training to comply with local laws and maintain ethical business practices in Vietnam; • Other legal work/duties as requested Legal risk management • Review and provide legal advice on all documents. Protect the company’s best rights and benefits via checking and verifying various contracts/agreements (business contracts, supplier’s/agencies’ contracts, etc.) • Prepare, review and modify contractual instruments to assist and support various business activities. Advice on the necessary checklist to be adopted to ensure information is submitted on time. • Liaise and follow up with relevant departments to ensure appropriate actions have been taken where legal risks have been identified. • Analyze legal & compliance risks and provision of legal recommendations, alerts, solutions, supports etc. Legal/compliance framework development • Ensure the efficient business operation by obtaining and renewing major licenses and permits (investment certificate, business related declaration, etc.); • Build up good business relationship with local government authorities. • Other tasks assigned by management. |

Requirements: | ||||||||||||
• BSc/BA in law, finance, business administration or a related field • Knowledge of legal requirements and controls; • 2-4years experience at the management position; • Sound knowledge of internal controls from both finance and operational perspectives and audits of compliance functions. • Strong at analyst, risk management, detailed orient; • Good communication, work well with plan and process; • Integrity, honest, responsibility; high spirit of teamwork; • Diligent and proactive; • Able to communicate in English, both speaking and written; • Willingness of travel frequently is required; |
